B. S Corporation Filings for Your New Texas Corporation
1. Federal S-Corporation Election Form
If you have Clickandinc.com incorporate a business for you in Texas, and you choose to be treated as an s-corporation for federal income tax purposes, we can draft that form for you (IRS form 2553). If you choose to draft it on your own, you can download it from the IRS website.
NOTE: You have 75 days from the date you incorporate a business in Texas to file your form 2553 with the IRS. If you fail to file in that time period, you will not be granted s-corporation status for the year in which you incorporate.

Texas does not require s-corporations file a seperate s-corporation election form with the state.

Have your Federal Tax ID Number (EIN) handy; most states require it on their state tax ID number forms and other forms that you may need to complete after you incorporate a business in Texas.
1. Get a Sales Tax Number (if you need one)
You need a sales tax permit if you:
Sell goods or taxable services in Texas; or
Purchase goods or taxable services for use in Texas from vendors that do not have sales or use tax permits.

2. The Franchise Tax/Annual Report
The franchise tax is imposed on each corporation/LLC that is chartered in Texas (as well as other out-of-state entities).
The initial report is due 89 days after the first anniversary of the charter date of a Texas Corporation or LLC. A preprinted report with a prorated tax rate will be mailed to the corporation or LLC about two months before the report is due.
