B.  S Corporation Filings for Your New Nevada Corporation 

1.   Federal S-Corporation Election Form
 
If you have Clickandinc.com incorporate a business for you in Nevada, and you choose to be treated as an s-corporation for federal income tax purposes, we can draft that form for you (IRS form 2553). If you choose to draft it on your own, you can download it from the IRS website.
 
NOTE: You have 75 days from the date you incorporate a business in Nevada to file your form 2553 with the IRS. If you fail to file in that time period, you will not be granted s-corporation status for the year in which you incorporate.
 
     2.  Nevada S-Corporation Election form
 
Nevada does not require s-corporations file a separate s-corporation election form with the state.
 
C.  Get Your Nevada Tax ID Number and Or Other State Required Documentation
 
Have your Federal Tax ID Number (EIN) handy; most states require it on their state tax ID number forms and other forms that you may need to complete after you incorporate a business in Nevada.
 
1.    State Business Registration Number
 
You must file the Nevada Business Registration and the Supplemental Application Forms to determine your state tax obligations, if any. That form and all information about it can be downloaded at www.tax.state.nv.us. Or you can call the Nevada Department of Taxation at one of these numbers:

2. Initial List of Officers
 
All Nevada corporations and LLCs must file an Initial List of Officers (for corporations) or an Initial List of Managers or Members (for LLCs) on or before the last day of the first month after the filing of the Articles of Incorporation or Articles of Organization.
 
So, if you filed your Articles on January 15th, you have to file your Initial List of Officers or Initial List of Managers or Members on or before February 28th. The fee is $125. The form will be mailed to the Registered Agent once your Articles are filed.

3. Annual List of Officers
 
Each year all corporations and llcs in Nevada are required to file an Annual List of Officers. The fee is $125. The Annual Lists must be submitted on or before the last day of the anniversary month of the original filing of the articles (e.g. If you filed your Articles of Incorporation on June 10, 2007, your Annual List of Officers would be due on or before June 30, 2008).
